      2. Check/Wire Certification: Approval of the disbursements totaling $15,213,156.53 on checks 435 through 576 and electronic payments issued during the period of November 26, 2024 through December 19, 2024 as certified by the NWSA Auditor.
      3. Additional Funding West Sitcum Litigation: Authorize additional funding in the amount of $300,000 for legal costs should the Supreme Court of the United States grant a writ of certiorari in Port of Tacoma et al. v. Puget Soundkeeper Alliance, No. 24-350. Materials
      4. Resolutions 2025-01 and 2025-02: Adopt Resolution 2025-01 Amending the Delegation of Authority Master Policy and 2025-02 the Sixth Amended Bylaws of the Northwest Seaport Alliance Managing Members. Materials

Acceptance of EPA Clean Ports Climate & Air Quality Planning Grant and Use of Funds: Authorize the CEO or his delegate to accept an EPA Clean Ports Program (CPP) Climate and Air Quality Planning grant of $3,000,000 to fund shovel-ready shore power design and zero emission infrastructure planning at Washington United Terminal (WUT) and zero emission infrastructure planning at East Blair One (EB-1) Terminal.       6. Terminal 5 (T5) Roof Replacement Project Authorization: Project authorization in the amount of $3,245,000 for a total authorized amount of $3,590,000 for work associated with the T5 Roof Replacements, MID N10410. Materials

      1. Managing Member and Homeport Actions: Water Resource Development Act (WRDA) Section 2106 / Harbor Maintenance Tax (HMT) Funds Use on Existing Projects:
        1. Request the Port of Seattle Commission approve allowing the use of FY2024 WRDA Section 2106 and HMT (Section 2106/HMT) funds on eligible projects in process.
        2. Request the Port of Tacoma Commission approve allowing the use of FY2024 WRDA Section 2106 and HMT (Section 2106/HMT) funds on eligible projects in process.
        3. Request the NWSA Managing Members authorize that Section 2106/HMT funds received by the NWSA from the Homeports will be treated as Contributed Capital (as defined in the NWSA Charter) to be used for eligible projects in the respective Homeport harbors, and further authorizing the return of cash to the two Homeports for expended projects as Other Cash (as defined in the NWSA Charter).

        2. Request the Port of Seattle Commission dedicate $3 million of FY 2024 WRDA Section 2106/Harbor Maintenance Tax funds (Section 2106/HMT) funds to fund the estimated June to December 2024 and 2025 eligible costs for work associated with the T18 Pile Cap Repairs, MID No. U00687.
